Practitioner Terms and Conditions for Product Sales and Commissions

By accepting these Terms and Conditions via checkbox, you (“Practitioner”) agree to the following terms governing your relationship with Stella (“Company”) regarding the provision of product recommendations to clients and commissions on sales made through the Stella platform.

Definitions

Stella: Refers to Stella, the platform through which skincare and wellness products are sold, and which connects clients with expert aesthetic practitioners. Stella is responsible for product sales, fulfillment, and the overall client experience on the platform.

Practitioner: A registered medical or healthcare professional who provides consultations and product recommendations to clients through the Stella platform.

Client: Any individual who seeks consultation from the Practitioner and makes purchases from Stella based on the Practitioner’s recommendations.

Commission: The fee paid to the Practitioner by Stella for product sales resulting from referrals or recommendations made by the Practitioner to their clients.

Referral Link/Unique Code: A personalized link or code provided to the Practitioner by Stella, used to track sales made by clients referred to the Stella platform.

Products: The skincare and wellness products available for purchase on the Stella platform, including but not limited to skincare treatments, supplements, and diagnostic tests.

Platform: Refers to the online marketplace and directory managed by Stella, where clients can purchase products and book consultations with Practitioners.

Voucher/Discount Code: Promotional tools used to offer clients a discount on their purchases from Stella, often linked to the Practitioner’s referral activities.

Net Sales Price: The price paid by the client for the product(s), excluding taxes, shipping fees, discounts, and refunds.

1. Role of the Practitioner

1.1. The Practitioner agrees to provide professional consultations to clients and recommend suitable products available on the Stella platform based on the client's needs. 

1.2. The Practitioner acknowledges that Stella is solely responsible for the sale, shipping, and fulfillment of all products. The Practitioner’s role is limited to providing recommendations and directing clients to Stella’s online store for purchases. 

1.3. The Practitioner is not authorized to collect payments or issue invoices on behalf of Stella.

2. Commission Structure

2.1. Stella agrees to pay the Practitioner a commission on sales made to clients who use the Practitioner’s referral link or unique code to make purchases on the Stella platform. 

2.2. The commission rate will be outlined in a separate schedule provided by Stella, which may be updated from time to time. Stella will notify the Practitioner in writing of any changes to the commission rate prior to implementation. 

2.3. Commissions will be calculated based on the net sales price, excluding taxes, shipping, discounts, and refunds. 

2.4. Commissions will be paid to the Practitioner on a monthly basis, subject to a minimum payout threshold of AUD 5.00.

3. Product Recommendations

3.1. The Practitioner agrees to recommend products based on their professional judgment and the individual needs of the client. 

3.2. The Practitioner acknowledges that while they provide product recommendations, Stella holds full responsibility for the product quality and safety, including any claims related to the effectiveness of the products. 

3.3. The Practitioner shall not make false or misleading claims about any product or its capabilities.

4. Liability and Disclaimer

4.1. Stella assumes responsibility for any defects or issues related to product quality, fulfillment, or shipment. 

4.2. The Practitioner’s liability is limited to providing professional advice to the best of their knowledge, and the Practitioner is not liable for any adverse effects or dissatisfaction that clients may experience with products purchased through Stella. 

4.3. Stella and the Practitioner disclaim any warranties, express or implied, regarding product efficacy or suitability for specific client needs.

5. Returns and Refunds

5.1. Stella is solely responsible for managing returns, refunds, and exchanges, in accordance with its standard return policy. 

5.2. The Practitioner agrees to assist clients by directing them to Stella’s customer service for any return or refund-related queries but shall not be involved in the process directly.

6. Confidentiality and Data Protection

6.1. The Practitioner agrees to maintain confidentiality regarding any non-personal client information related to consultations. 

6.2. Stella will not store or handle any client health data. 

6.3. Stella may use client information for purposes such as order fulfilment and customer service. If Stella wishes to use client information to communicate other Stella services or promotions, such communication will only occur if Stella obtains the client’s prior approval or explicit consent in compliance with the Australian Privacy Principles (APPs).

7. Voucher and Discount Codes

7.1. The Practitioner may inform clients of any available discounts or vouchers provided by Stella, including the $50 voucher for clients who spend $500 on the Stella platform. 

7.2. Any use of discount codes or vouchers will be governed by Stella’s policies, and the Practitioner shall not offer discounts independently.

8. Termination

8.1. Either party may terminate these Terms and Conditions with [30 days] written notice via email or other communication means. 

8.2. Upon termination:

  1. The Practitioner will no longer be eligible for commissions on any future sales made through the Stella platform.
  2. Commissions earned on purchases made prior to the termination date will be paid out in accordance with the standard payment schedule.
  3. Any disputes arising before or after termination that relate to the Practitioner’s role or recommendations will be resolved according to the dispute resolution process outlined in these Terms and Conditions. 

8.3. Stella reserves the right to terminate these Terms and Conditions immediately in the event of any breach of the terms by the Practitioner, including but not limited to unethical or misleading product recommendations.

9. Dispute Resolution

9.1. In the event of any dispute arising between the Practitioner and a client, both parties agree to attempt to resolve the matter amicably. 

9.2. For disputes related to product quality or sales, the client will be directed to Stella’s customer service for resolution. 

9.3. Any unresolved disputes between Stella and the Practitioner will be subject to mediation, followed by binding arbitration, in accordance with Australian standards for alternative dispute resolution.

10. Indemnity

10.1. The Practitioner agrees to indemnify and hold Stella harmless from any claims, damages, or liabilities arising out of the Practitioner’s professional advice or recommendations, provided such claims are unrelated to Stella’s product fulfillment or quality. 

10.2. Stella agrees to indemnify the Practitioner for any claims related to product defects, shipping, or fulfillment issues.

11. Modification of Terms

11.1. Stella reserves the right to update or modify these Terms and Conditions, including the commission schedule. 

11.2. Any changes to these Terms and Conditions will be communicated to the Practitioner in writing via email or notification through the Stella platform at least 7 days before the changes take effect. 

11.3. Continued participation by the Practitioner on the Stella platform following notification of changes will constitute acceptance of the new terms. 

11.4. If the Practitioner does not agree to the modifications, they may terminate their participation in the program by providing written notice as outlined in the Termination Clause.
